Board Member Position Description

Position Summary
The Hope Medical of Washington Board of Directors manage, directly or indirectly, all affairs of the corporation. The Board consists of not less than three nor more than nine Directors, the specific number to be set by resolution of the Board. The Corporate Officers are elected from the Board members and include a President, a Vice President, a Secretary, and a Treasurer.

Classification: Volunteer

Time Commitment: Regular Board meetings are held the second Monday of even numbered months and typically run 1-2 hours in length. Meetings are normally held in the conference room at Hope Medical but may occasionally be conducted online. Board members are expected to prepare for the meeting in advance by reviewing the agenda and other materials. In addition, Board members are expected to participate on at least one standing committee (Program, Finance, Development, or Governance) and to help represent the organization at fund raising and outreach events. Corporate Officers have additional responsibilities and time commitments, such as preparing meeting agendas, recording and distributing meeting minutes, or assisting the Executive Director to prepare an annual budget for Board approval.

Basic Responsibilities of Nonprofit Boards

  1. Determine mission and purpose. It is the board's responsibility to create and review a statement of mission and purpose that articulates the organization's goals, means, and primary constituents served.
  2. Select the Executive Director. Boards must reach consensus on the Executive Director's responsibilities and undertake a careful search to find the most qualified individual for the position.
  3. Support and evaluate the Executive Director. The board should ensure that the Executive Director has the moral and professional support he or she needs to further the goals of the organization.
  4. Monitor and strengthen programs and services. Boards must actively participate in an overall planning process and assist in implementing and monitoring the plan's goals.
  5. Monitor and strengthen programs and services. The board's responsibility is to determine which programs are consistent with the organization's mission and monitor their effectiveness.
  6. Ensure adequate financial resources. One of the board's foremost responsibilities is to secure adequate resources for the organization to fulfill its mission.
  7. Protect assets and provide proper financial oversight. The board must assist in developing the annual budget and ensuring that proper financial controls are in place.
  8. Build a competent board. All boards have a responsibility to articulate prerequisites for candidates, orient new members, and periodically and comprehensively evaluate their own performance.
  9. Ensure legal and ethical integrity. The board is ultimately responsible for adherence to legal standards and ethical norms.
  10. Enhance the organization's public standing. The board should clearly articulate the organization's mission, accomplishments, and goals to the public and garner support from the community. Position Requirements & Qualifications

  • Hope Medical of Washington is a faith-based, non-profit community medical clinic providing compassionate, evidence-based health care services. Out of God's love for his creation, we educate and empower people to make informed decisions which enable that person to embrace health and life.
  • As a Christian faith-based organization, all staff, volunteers with patient contact, and Board members are required to affirm in writing a Christian Statement of Faith, the Hope Medical of Washington Core Values, and the Hope Medical of Washington Standards of Operation & Conduct.
  • Although Hope Medical of Washington is non-denominational, the Board of Directors choose to conform with the Washington State Catholic Conference (WSCC) Standards for Relationships/ Partnerships with Pregnancy Resource Centers (PRCs). Board Member and the Executive Director must read and agree in writing to abide by these standards in governance and management of the organization.
2. Professional

  • A bachelor's degree in business administration, healthcare, social services, or a related field from an accredited college is desired. Other business training and work experience will be considered in lieu of a formal collegiate degree.
  • Previous nonprofit Board experience is desired, but not required.

Compensation

  • Board members receive no compensation for their service.
  • Newly elected Board Presidents are encouraged to attend one Heartbeat International annual conference. Conference fees and travel expenses are reimbursed.
